Open Question: How to keep from loosing heat through the attic fan shutter?

I just moved into this house in the past year and.... The shutter for my attic fan doesn't close "tight." I don't see how it can since it opens when the fan is turned on and just falls shut when the fan is turned off. It is 32 X 32. I'm sure I lose a lot of heat through it in the winter and I don't' really use it in the summer. I live in Atlanta and use A/C in the summer. Since heat rises and cold air fails I'm mostly concerned with loose heat through the shutters verses cool air. My questions are: would it be better to cover the fan opening in the winter from above (in the attic)? or from below (like maybe clip something over the fan from down below?) Are the shutters suppose to close completely? The shutter is in the ceiling.
